Hedge Fund Formation Associate – 2+ Years Experience
Location: New York City (In-Office Role)
An elite corporate law practice is seeking an experienced associate to join its market-leading Hedge Fund Formation team. This is a unique opportunity to work alongside top-tier attorneys on complex fund launches for both institutional and emerging managers, while gaining unmatched exposure to cutting-edge structures and sophisticated clients.
What You’ll Do
As part of this high-impact team, you'll advise clients on the formation, structuring, and launch of hedge funds across a range of strategies and asset classes. You’ll draft and negotiate key fund documents including:
Private Placement Memoranda
Limited Partnership Agreements
Investment Management Agreements
Subscription Documents, Side Letters, and SMA Agreements
Senior associates will also lead negotiations and advise on investor-side matters, while those with experience in seed deals, hybrid funds, or closed-end funds will find room to leverage and expand that knowledge.
Who You Are
You bring at least two years of dedicated hedge fund formation experience
You’ve drafted core fund documents and understand the U.S. regulatory framework that governs hedge funds
You thrive in fast-paced, high-expectation environments with collaborative teams and sophisticated clients
You’re proactive, precise, and growth-oriented, looking for mentorship, visibility, and increasing responsibility
Admission to the New York Bar (or eligibility to waive in) required

Base salary starts at $235,000, with competitive benefits and performance-based bonuses
